TERMS OF SERVICE (Distance Contract)
Welcome to the Approved Promo by SIA “APPROVED PROJECTS” online store. In these terms, the words “we”, “us”, and “our” refer to Approved Promo by SIA “APPROVED PROJECTS”, registration No. 40203477555, VAT No. LV40203477555, legal address: Piena iela 16-7, Riga, LV-1045, Latvia (Office/Return address: Hanzas 16, Riga, Latvia, LV-1045).
Approved Promo manages this online store and website, including all related information, content, functionality, tools, products, and services (hereinafter -Services) to provide customers (the "Buyer") with a shopping experience. The online store operates using the Shopify platform, which provides the technical infrastructure for the provision of Services.
These terms of use (hereinafter -Terms), which serve as a Distance Contract between the merchant and the Buyer, determine your rights and obligations when using our Services. By using our Services, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you are not authorized to use the Services.
1. ACCESS AND ACCOUNT
1.1. By agreeing to these Terms, you confirm that you have reached the age of majority according to the laws and regulations of the Republic of Latvia or that you have received the consent of a legal representative to use the Services.
1.2. You confirm that the information provided is true, accurate, and complete.
1.3. You are fully responsible for the security of your access information and all actions performed under your account.
2. OUR PRODUCTS
2.1. We strive to ensure the most accurate description and display of products.
2.2. Colors and appearance may vary depending on your device's screen settings. We do not guarantee that the quality or appearance of products will fully meet your subjective expectations.
2.3. Descriptions, prices, and availability are subject to change at any time without notice.
3. ORDERS AND CANCELLATION
3.1. By placing an order, you make an offer to purchase our products. We reserve the right to approve or reject an order at our discretion.
3.2. Order Cancellation: You may request to cancel your order before it has been processed and shipped by contacting us immediately at hello@approvedpromo.eu.
3.3. Please check all information carefully before submitting, as cancellation is not possible once the fulfillment process begins.
4. PRICES AND PAYMENTS
4.1. Prices, discounts, and promotions may change without notice. The applicable price is the one in effect at the time of ordering. Unless stated otherwise, prices do not include taxes, delivery, or other additional costs.
4.2. Payment Options: We accept secure payment methods at checkout, including:
4.2.1. KLIX Payment Gateway: Payments via KLIX are processed by a third-party payment service provider. We do not store or have access to your payment card details. This allows you to pay securely using various methods, including direct bank links, KLIX Pay Later, and major payment cards (Visa, Mastercard).
4.2.2. Direct Bank Deposit: You may choose to transfer the funds directly to our company's bank account.
4.3. Order Confirmation: Once your payment is successfully completed at the checkout (or successfully received via direct bank deposit), we will send all information regarding your order, including the confirmation of your order and the concluded transaction, directly to the email address you provided.
4.4. Payment Information: You agree to provide accurate payment information and confirm that you are authorized to use the chosen payment method.
5. DELIVERY TERMS AND CONDITIONS
5.1. All orders are processed within 2 Business Days. Orders are not shipped or delivered on weekends or holidays. We may delay shipments by a few days if dealing with a high volume of orders. Shipping charges will be calculated and displayed at checkout.
5.2. Domestic Shipping (Latvia):
5.2.1. Standard Delivery (Orders €0.00 -€199.99): €5.00
5.2.2. Express Delivery: €55.00
5.2.3. Free Delivery (Orders €200.00 and up): Free
5.3. International Shipping (Rest of World):
5.3.1. Standard Delivery (Orders €0.00 -€199.99): €10.00
5.3.2. Express Delivery: €70.00
5.3.3. Free Delivery (Orders €200.00 and up): Free
5.4. Liability & Customs: Delivery times are informative and not guaranteed. Approved Projects SIA is not responsible for customs, taxes, or delays caused by carriers.
5.5. If your order is visibly damaged upon delivery, please notify us immediately and, where applicable, also contact the carrier to file a claim.
For business customers, the risk associated with the product passes to the Buyer at the moment it is handed over to the carrier.
For Consumers, the risk passes upon delivery to the final recipient.
6. RETURN POLICY & RIGHT OF WITHDRAWAL
6.1. EU 14-Day Cooling-Off Period (Consumers Only): If merchandise is shipped into the EU, natural persons purchasing for personal, non-commercial use (Consumers) have the right to cancel or return the order within 14 days for any reason and without justification.
6.2. B2B (Business to Business) Purchases: The 14-day right of withdrawal and standard return policies do not apply to legal entities or businesses purchasing goods for commercial purposes.
However, business customers are entitled to return goods that are non-compliant with the order, damaged, or of inadequate quality in accordance with the procedure set out below.
6.3. Eligibility (Consumers): Your item must be in the same condition that you received it, unworn or unused, with tags, and in its original packaging. You’ll also need the receipt or proof of purchase.
6.4. Defective or Non-Compliant Goods (B2B)
If the Buyer determines that the goods are not compliant with the order, are damaged, or of inadequate quality, the Buyer must submit a claim no later than 5 business days from receipt of the goods.
The claim must be sent to hello@approvedpromo.eu including:
- a detailed description of the issue;
- photographic evidence clearly showing the defect.
Failure to notify within this period may result in rejection of the claim.
6.5. Exceptions / non-returnable items: The following items cannot be returned:
Perishable goods,
custom products (including items personalized or printed with your logo/design),
personal care goods,
hazardous materials,
sale items, and
gift cards.
6.6. Return Process: To initiate a return, contact us at hello@approvedpromo.eu. If the return is approved, instructions will be provided. Unless the item is defective or incorrect, the customer bears the return shipping costs.
6.7. Return Address: Returns must be sent to: Hanzas 16, Riga, Latvia, LV-1045.
6.8. Manufacturer’s Warranty: Certain products may be covered by a manufacturer’s warranty. Information regarding applicable warranty terms and conditions is provided by the manufacturer and, where applicable, supplied together with the goods. The manufacturer’s warranty supplements the Buyer’s statutory rights related to defective goods. The warranty applies only if the product has been used for its intended purpose and in accordance with any provided instructions. Where no specific instructions are supplied, the Buyer is expected to use the product with reasonable care and in line with its intended purpose and generally accepted use.
6.9. Product Representation Disclaimer: The Seller informs that product images displayed on the website (approvedprojects.eu) are illustrative and may not represent the exact product delivered. Products may differ in size, shape, or color from the images shown. Product characteristics are specified in the product description and are based on information provided by the manufacturer. The manufacturer is responsible for the accuracy of such information. The Seller does not guarantee that the product will meet all subjective expectations of the Buyer. Color differences may occur due to screen settings; lighting conditions during photography; production batch variations; material and dye characteristics. Such minor differences shall not be considered defects and cannot serve as grounds for return.
7. REFUND TERMS
7.1. We will notify you once we’ve received and inspected your return and let you know if the refund was approved.
7.2. Processing: If approved, you’ll be automatically refunded within 14 days after approval of the return.
7.3. Method of Refund: Refunds are made using the same means of payment that the customer used in the transaction. (Naudas atmaksa tiek veikta izmantojot tādu pašu maksāšanas līdzekli, kādu klients izmantoja darījumā).
8. EU LEGAL GUARANTEE
8.1. For Consumers (natural persons), EU law guarantees a minimum 2-year warranty against faulty goods or goods that do not look or function as advertised.
8.2. If your item is defective, please inspect your order upon reception and contact us immediately so we can evaluate the issue and make it right.
9. INTELLECTUAL PROPERTY
9.1. All Services, including trademarks, texts, images, and designs, are the property of SIA “APPROVED PROJECTS” or its licensors and are protected by Latvian and international laws.
9.2. You may use the Services only for personal, non-commercial purposes.
10. USER-GENERATED CONTENT
10.1. If you submit reviews, comments, or other content to our site, you grant us the right to use, modify, and display such content.
10.2. You are prohibited from posting content that is offensive, illegal, or infringes on third-party rights.
10.3. We reserve the right to moderate or delete user-generated content at our discretion.
11. OPTIONAL TOOLS & THIRD-PARTY LINKS
11.1. We may provide access to third-party tools or links to third-party websites which we neither monitor nor control.
11.2. These are provided "as is", and your use of these is entirely at your own risk.
12. RELATIONSHIP WITH SHOPIFY
12.1. While the store uses the Shopify platform, all transactions are directly between you and SIA “APPROVED PROJECTS”.
12.2. Shopify is not responsible for any disputes, products, or deliveries.
13. PRIVACY POLICY
13.1. Personal information is processed in accordance with our Privacy Policy.
13.2. Shopify may also process certain data to ensure the operation of the Services.
14. PROHIBITED USES
14.1. You are prohibited from using the Services to violate laws; infringe upon intellectual property; submit false information; interfere with security features; or distribute malicious code.
14.2. We may terminate your access if you violate these Terms.
15. FORCE MAJEURE
15.1. We shall not be liable for any failure or delay in performance of our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, strikes, pandemics, or severe supply chain disruptions.
16. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY
16.1. The Services and products are provided "as is".
16.2. To the extent permitted by Latvian law, SIA “APPROVED PROJECTS” is not liable for indirect or consequential damages.
16.3. Our liability is limited to the amount you actually paid for the specific product or service.
17. SEVERABILITY & ENTIRE AGREEMENT
17.1. If any provision is invalid, the remaining provisions remain in effect.
17.2. These Terms constitute the entire agreement between you and us.
17.3. You may not assign your rights without our consent.
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1. These Terms are governed by the laws of the Republic of Latvia.
18.2. Dispute Resolution: Any disputes arising from these Terms or the Distance Contract will first be attempted to be resolved through mutual negotiations.
18.3. Consumer Rights: If an agreement cannot be reached, consumers may submit the dispute to the Consumer Rights Protection Centre of Latvia (PTAC).
18.4. Online Dispute Resolution (ODR): EU consumers can also use the European Commission's Online Dispute Resolution platform to resolve cross-border disputes, available at: https://ec.europa.eu/consumers/odr/
18.5. Jurisdiction: Unresolved disputes shall be settled in the courts of the Republic of Latvia.
19. CHANGES TO TERMS
19.1. We reserve the right to amend these Terms at any time by publishing the updated version on the website.
